Terms of Service
Welcome to Mango Bibo LLC. By using our Receptionist Services and/or Virtual Assistant (VA) Services, you agree to comply with and be bound by the following Terms and Conditions. Please read these terms carefully before engaging our services.

These Terms of Service ("Terms") govern the use of services provided by MangoBibo LLC ("Company," "MangoBibo," "we," "us," or "our"). By engaging our services, you ("Client," "you," or "your") agree to these Terms. These Terms are intended to align fully with and operationalize the provisions of MangoBibo’s Master Service Agreement ("MSA"). In the event of any conflict, the executed MSA shall control.
1. Definitions

"Company," "we," "us," or "our" refers to Mango Bibo LLC.

"Client," "you," or "your" refers to the individual or entity engaging our services.

"Services" refers to the Receptionist Services and Virtual Assistant Services provided by Mango Bibo LLC.

"Receptionist Services" refers to professional call answering, message taking, appointment scheduling, and related services.

"Virtual Assistant (VA) Services" refers to administrative, business support, and related tasks performed remotely by our VA team.
2. Services Provided

MangoBibo provides remote Virtual Assistant services through assigned personnel ("Virtual Assistants" or "VAs"), including General Virtual Assistants, Specialized Virtual Assistants, and Flextime Virtual Assistants, as defined in the MSA. Services are task-based, remote, and performed under the Client’s direction within the agreed scope.
Service Categories

General Virtual Assistant (General VA): Ongoing administrative and operational support under an exclusive assignment, subject to minimum weekly hours.

Specialized Virtual Assistant (Specialized VA): Assigned based on pre-existing qualifications, credentials, or experience requiring minimal training.

Flextime Virtual Assistant (Flextime VA): Task-based, on-demand support without a fixed weekly commitment.
Classification is determined by MangoBibo in good faith based on the Client’s requirements and the VA’s documented qualifications.
3. Onboarding & Official Start Date

Each engagement includes up to five (5) hours of onboarding credit per VA, usable exclusively for onboarding, training, system access testing, SOP review, kickoff calls, and practice activities.

Onboarding credit may not be used for production work and expires upon completion of onboarding or commencement of billable work, whichever occurs first.

Failure by the Client to complete onboarding prior to the Official Start Date results in forfeiture of onboarding credit.

The Official Start Date is confirmed in writing and governs billing commencement.
All onboarding and training calls may be recorded for documentation, quality assurance, and continuity purposes.
4. Account Manager & Continuity Model
Each Client engagement includes Account Manager oversight. The Account Manager:

Participates in onboarding and training

Maintains visibility into workflows and documentation

Supports continuity, replacements, and scaling
This shared-knowledge model ensures no Client engagement is dependent on a single VA.
5. Client Responsibilities
Clients agree to:

Provide timely access to systems, tools, documentation, and instructions

Assign tasks and priorities clearly

Participate in onboarding and training sessions

Use approved communication channels and include MangoBibo where required

Refrain from discussing compensation or financial arrangements directly with VAs
6. Communication Channels
Clients may communicate directly with assigned VAs for work-related purposes using approved channels only. MangoBibo must be included in group chats, collaboration tools, or project platforms to ensure oversight, documentation, and continuity. Personal email addresses or unapproved channels are prohibited.
7. Hours, Availability & Idle Time

General VAs are subject to a 20-hour minimum weekly commitment under exclusive assignment.

Billing is based on scheduled availability, not solely task completion.

Idle time caused by Client delays (e.g., lack of tasks, approvals, or onboarding completion) is billable.

Overtime requires advance written approval.
8. Billing & Payment Terms

Billing occurs weekly, with the workweek running Sunday through Saturday.

Fees are charged based on agreed service category and hours.
-
Late payments may result in fees, service suspension, or reassignment of VAs.

No refunds are issued for unused hours; adjustments are applied prospectively only.
9. Replacement Policy
Clients may request a VA replacement if performance is unsatisfactory. MangoBibo will make reasonable efforts to provide a replacement at no additional cost, subject to availability.
10. Holidays, Leave & No Paid Leave Policy
VAs operate under a no-work, no-pay policy unless the Client elects otherwise in writing. Holiday closures initiated by the Client do not relieve billing obligations unless expressly agreed.
11. Data Access & Confidentiality

VAs may only access Client data expressly authorized in writing.

MangoBibo ensures confidentiality obligations and reasonable safeguards.

Data access is limited strictly to service performance.

Confidentiality obligations survive termination.
12. VA Monitoring
Clients acknowledge and consent to MangoBibo’s monitoring policies, including oversight of VA systems and activity for security, compliance, and efficiency purposes.
13. Non-Solicitation & VA Buyout
Clients may not solicit or hire assigned VAs during the engagement or for twelve (12) months thereafter without paying the agreed buyout fee. Exceptions apply where a VA independently seeks employment without Client solicitation.
14. Performance Review & Optional Rate Adjustments
MangoBibo may, at its discretion, periodically request Client feedback or a performance review of the assigned Virtual Assistant, particularly where the VA has demonstrated strong performance, expanded responsibilities, increased workload, or higher skill utilization over time.
Any discussion of a potential hourly rate increase shall be initiated and coordinated by MangoBibo. Client participation in such reviews is optional, and approval of any rate adjustment is not required.
All rate adjustments, if approved, are applied prospectively only, must be documented in writing, and remain subject to MangoBibo’s sole discretion regarding implementation and effective date.
15. Indemnification & Limitation of Liability
Each party agrees to mutual indemnification for negligence, willful misconduct, or material breach. Neither party is liable for indirect or consequential damages. Aggregate liability is capped at fees paid during the six (6) months preceding the claim.
16. Termination
Services are month-to-month. Clients may terminate with at least 48 hours’ written notice before the end of the billing week. Outstanding balances remain due upon termination.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California. Disputes are subject to mediation prior to litigation in San Diego County, California.
18. Modifications
MangoBibo may update these Terms at any time. Continued use of services constitutes acceptance of revised Terms.
